promisee, defined:

a person or party authorized to act on behalf another. A designation of legal status, the promisee is authorized to act on behalf of the principal in matters such as the formation of a contract. The actions of the agent bind the principal legally.

The attorney tried to argue the defendant's principal-agent liability was insufficient to defeat the motion.
